Beta Participation Agreement

Effective upon acceptance · 90-day beta period

            Important: NextEmail.ai is beta software. By participating, you acknowledge the risks and limitations described below.
        

1. Beta Program

NextEmail.ai ("Company") invites you ("Participant") to participate in the private beta program for the NextEmail.ai email intelligence platform ("Service"). The beta period is ninety (90) days from account creation, extendable at the Company's sole discretion.

2. As-Is Software

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. The Company makes no warranties regarding:

Availability, uptime, or reliability of the Service
Accuracy of AI classification, security scanning, or search results
Compatibility with all email providers or configurations
Preservation or backup of any data processed by the Service

3. Air-Gapped Architecture

All AI processing occurs on dedicated, self-hosted hardware. No email content is sent to external cloud AI services (e.g., OpenAI, Google Cloud AI, AWS Bedrock). AI models run locally on the Company's server infrastructure.

4. No Data Recovery Guarantee

The Service operates on self-hosted hardware. In the event of hardware failure, data corruption, or catastrophic system failure, data may be partially or fully unrecoverable. The Company will make reasonable efforts to maintain backups but does not guarantee data recovery.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages
The Company's total aggregate liability shall not exceed the amount paid by Participant for the Service during the twelve (12) months preceding the claim (which during beta is $0)
The Company is not liable for any loss of data, business interruption, or damages arising from use or inability to use the Service

6. Feedback and Intellectual Property

Any feedback, suggestions, bug reports, feature requests, or ideas ("Feedback") provided by Participant to the Company during the beta program shall become the sole property of the Company. The Company may use, modify, and incorporate Feedback into its products without any obligation or compensation to Participant.

7. Acceptable Use

Participant agrees to:

Use the Service only for lawful purposes
Not attempt to reverse-engineer, decompile, or extract AI models or training data
Not use the Service to process emails for more than the number of mailboxes allowed by their plan tier
Not share account credentials with third parties
Report any security vulnerabilities or bugs discovered during use

8. Termination

Either Party may terminate this Agreement at any time for any reason. Upon termination:

Participant's access to the Service will be revoked
All Participant data will be deleted within thirty (30) days
The confidentiality obligations under the MNDA survive termination

9. Modifications

The Company reserves the right to modify the Service, these terms, or discontinue the beta program at any time. Material changes will be communicated to Participant via email at least seven (7) days in advance.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
